AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES ORIGINAL DOWNTOWN STREETS, INC. This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of act, 2019 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Downtown Streets, Inc., a California public benefit non-profit corporation, ("Contractor") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain General Services Agreement with Downtown Streets Team, Inc., dated as of August 1, 2019, (the "Original Agreement"). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Section 1 "Scope of Work" of the Original Agreement is deleted in its entirety and replaced with the following: 1. Scope of Work. Subject to the terms and conditions of this Agreement, Contractor shall provide those services described in Exhibit A and incorporated herein by reference. In summary, the scope of services includes but is not limited to creating volunteer work experience opportunities for people experiencing homelessness in Redwood City (hereinafter "Team Members"). Team Members volunteer work experience will include, but is not limited to, picking up litter, emptying trash receptacles in and around the Redwood City Downtown area, or other mutually agreed upon areas of Redwood City as needed, and reporting cases of vandalism and graffiti. Contractor shall also, through the use of their employees, encourage other homeless individuals to explore other options, and to explain all of the services that are available to homeless individuals. 2. Paragraph 1 of Exhibit A of the Original Agreement is deleted in its entirety and replaced with the following: The Contractor will create volunteer work experience opportunities for people experiencing homelessness in Redwood City (hereinafter "Team Members" or "Team"). Team Members volunteer work experience will include, but is not limited to, picking up litter, emptying trash receptacles in and around the Redwood City Downtown area, and reporting quality of life issues such as vandalism and graffiti. Contractor will initially focus cleanup efforts in the Downtown area between 8AM — Noon. With the donation of a vehicle, Contractor plans to extend cleanup efforts REV: 08-27-19 RL Page 1 of 3
