REV: 05-12-2021 SK AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES (BKF Engineers) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ________________, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and BKF Engineers, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services with Consultant to provide land surveying services, special inspections and materials testing services on an on-call, as-needed basis dated as of September 2, 2019, (the “Original Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference (the Original Agreement and Amendment No. 1 are collectively known as the “Agreement”). NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A” attached hereto, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Ninety-Five Thousand Dollars ($95,000.00) for the completion of all the services described in Exhibit “A” attached hereto, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Four Hundred Forty-Five Thousand Dollars ($445,000.00). 3. Unless terminated earlier, the term of this Amendment will be until the expiration date of the Original Agreement and may be extended with the City Manager’s approval. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 6. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
