12/03/20 <br /> 1. Effective Date and Term of Contract. The term of this Contract shali <br /> commence on (the "eifective date"), and shall expire ten years <br /> thereafter, to wit, on . Thereafter, each year upon the <br /> anniversary of the effective date, the initial term will automatically be extended as <br /> provided in paragraph 2. <br /> 2. Renewal. Each year on the anniversary of the effective date of this <br /> Contract (hereinafter referred to as the "renewal date"), a year shall au#omatically be <br /> added to the initial term of this Contract unless sooner #erminated in accordance with <br /> the provisions herein. <br /> 3. Notice of Nonrenewal. <br /> a} If either Owner or City desires in any year not to renew the <br /> Contract, that party shall serve written notice of nonrenewal of the Contract on <br /> the other party in advance of the annuai renewa! date of the Contrac#. Unless <br /> such notice is served by Owner to City at least nine#y (90) days prior to the <br /> annual renewal date, or served by City to Owner at least sixty (60) days prior to <br /> the annual renewal date, one (1) year shall be automatically added to the term of <br /> the Contract. <br /> b) Upan receipt by Owner of a notice of nonrenewal from �ity, Owner <br /> may make a written protest of the notice of nonrenewal. City may, at any time <br /> prior to the renewal, withdraw the notice of nonrenewai, <br /> c} 1f either City or Owner serves notice of intent in any year not to <br /> renew the Contract, the existing Cantract shall remain in effeet for the balance of <br /> the period remaining since the original execution or the last renewal of the <br /> Contract, as the case may be. <br /> 4. Standards for Historical Property. During the term of #his Contract, the <br /> Historic Property shall be subject to the following conditions, requirements and <br /> restrictions and Owner agrees to same: <br /> a) 4wner shall preserve and maintain the characteristics of historica) <br /> significance of the Historic Property. Attached hereto, marked as Exhibit "B," and <br /> incorporated herein by fhis reference, is a list of those minimum standards and <br /> conditions for maintenance, use and preservation of the Historic Property, which <br /> shall apply to sueh property throughout the term of this Contract. Owner shall <br /> also comply with the requirements set forth in Chapter 40 af the Code of the City <br /> of Redwood City and with the Secretary of the Interior's Rehabilitation Standards <br /> set forth in Exhibit "D," and incorporated herein by this reference. <br /> b) Owner shall, where necessary, restore and rehabilitate the property <br /> according to the rules and regulations of the Office of the Historic Preservation of <br /> tne State Department of Parks and Recreation and in accordance with the <br /> ATTY(AGW2012.184(FOX THEATRE MILLS ACT CONTRRCT <br /> t2EV:11-15-12 VR <br /> Page 2 of 10 <br /> RESO. # 15235 <br /> MUFF#612 <br />
