<br />"EXHIBIT A" <br /> <br />CONSULTANT SERVICES AGREEMENT <br /> <br />THIS AGREEMENT is made at Redwood City, California, as of <br /> <br /> <br />February ____, 1984 by and between the City of Redwood City ("City") and <br /> <br /> <br />Wilson Morton Assaf & McElligott ("Consultant") who agree as follows: <br /> <br />WHEREAS, City may from time to time desire to establish benefit <br /> <br /> <br />maintenance assessment districts to pay the costs and expenses of <br /> <br /> <br />maintaining and operating certain public improvements in the City; <br /> <br /> <br />WHEREAS, Consultant possesses extensive experience in the <br /> <br />specialized field of assessment district law and is ready, willing and <br /> <br /> <br />able to provide such services to City; <br /> <br />NOW, THEREFORE, in consideration of the mutual covenants, terms <br /> <br />and conditions set forth below, the parties agree as follows: <br /> <br /> <br />1. Legal Services. Subject to the terms and conditions set <br /> <br />forth in this agreement, Consultant shall provide the following legal <br /> <br /> <br />services to City: <br /> <br /> <br />A. Consultant will draft a procedure by which City can <br /> <br />establish one or more benefit maintenance assessment districts in <br /> <br /> <br />compliance with the Charter and the requirements of assessment <br /> <br /> <br />district law for the maintenance and operation of public <br /> <br />improvements located within the City. <br /> <br />B. Consultant will provide legal advice and the <br /> <br /> <br />appropriate documents to enable City to form one or more <br /> <br />benefit maintenance assessment districts. <br />
