<br />ordinances adopted by the cities which are parties to this <br /> <br />agreement. <br /> <br />7. supervisory Committee. The city managers of the <br />participating cities shall serve as the supervisory Committee of <br />the Intercity TSM Authority. Each manager may appoint someone to <br />cast his/her vote as a proxy, should attendance of the manager not <br />be possible. The Committee shall be responsible to the Board of <br />Directors for providing general administrative direction to the <br />Authority and TSM Administrator; monitoring the operations and <br />achievements of the Authority; preparing and recommending an <br />annual budget; and making recommendations for any program changes <br />which it deems necessary. <br />8. Project Staff. The supervisory Committee shall appoint <br />the TSM Administrator, subject to conformation by the Board of <br />Directors. The Committee may designate one of its members to <br />direct the TSM Administrator. The TSM Administrator shall have <br />the duties and responsibilities specified in the TSM ordinances <br />adopted by the participating cities. In addition, the <br />Administrator shall be responsible for all decisions regarding <br />appointment and retention of other TSM staff members, provided <br />that any hirings and retentions shall conform to the approved <br />budget. <br /> <br />In lieu of directly employed staff, and with the approval <br />of the Board of Directors, the supervisory Committee may contract <br />with participating city or others for all or some staff services, <br />provided that such contracts conform to the approved budget.
