Independent Contractor: The parties, their agents and employees' <br />shall be independent contractors in performance of this AGREEMENT and not officers~ <br />employees or agents of each other. Licensing and Ac;creditation: Where necessary for its operation, <br />CONTRACTOR shall maintain the appropriate license or accreditation throughout th <br />life of this AGREEMENT. <br /> <br />Section 16. Entire Contract: This AGREEMENT is the entire contract betwee <br />the parties, and no modification or amendment thereof shall be valid unless made i <br />writing and signed by the parties hereto. Assignability: Without the written consent of the the other party, thi <br />AGREEMENT is not assignable either in whole or in part.
