<br />DES: mmg ,- / 2 7 /89 (# 4 0 / 032 ) <br /> <br />The limi ts of <br />professional liability <br />$250,000. <br />Each such policy shall contain a policy condition or bear an <br />endorsement precluding cancellation or reduction in coverage of <br />said policy, unless the named or additional insured shall have <br />been given not less than ten (10) days prior notice thereof. <br />Each policy shall bear a standard cross-liability <br />endorsement. Such policy shall name as an insured, or bear an <br />endorsement naming, the City of Redwood City, its Councilmen, <br />commissions, officers, boards, employees, and agents as <br /> <br />Exhibit "A" <br />liabili ty for each <br />(errors and omissions) <br /> <br />such policy for <br />insurance shall be <br /> <br />additional insureds. <br /> <br /> <br />A copy of said policies must be filed with the City and <br /> <br /> <br />shall not be deemed to comply with the foregoing requirements of <br /> <br /> <br />this paragraph unless the insurer and also the form and substance <br /> <br /> <br />of such policies are satisfactory to the City. <br /> <br /> <br />6. Termination. Either party may terminate this agreement <br /> <br /> <br />without cause at any time during the term hereof upon giving not <br /> <br /> <br />less than, ten (10) days' written notice thereof to the other <br /> <br /> <br />party. Such notice shall set forth the effective date of such <br /> <br /> <br />termination. In the event of such termination, City shall pay to <br /> <br />Attorney as full payment for all services performed and all <br /> <br />expenses incurred under this agreement an amount which bears the <br /> <br /> <br />same ratio to the total fee otherwise payable under this <br /> <br /> <br />agreement as the services actually rendered hereunder by Attorney <br /> <br /> <br />bear to the total services necessary for the full performance of <br /> <br /> <br />this agreement.
