Attorney shall not perform <br />services, the compensation for which exceeds said amount without <br />prior approval thereof by City's City Council, evidenced by <br />motion duly made and carried. <br />3. Standard of Performance. Attorney agrees to perform all <br />legal services in a careful, diligent and professional manner. <br />4. Title to Documents. All documents, and other papers, or <br />copies thereof as finally prepared by Attorney, pursuant to the <br />terms of this agreement, shall, upon preparation, become the <br />property of City. Attorney shall have the right to reproduce and <br />use for its own purposes copies of the aforementioned material <br />which may be originated and prepared for City or otherwise <br />provided in the course of work under this agreement except to the <br />extent such use would breach the confidentiality thereof. <br />5. Liability Insurance. Attorney shall, at Attorney's sole <br />cost and expense, obtain and keep in full force and effect during <br /> <br /> <br />the term hereof, or until its earlier termination a policy or <br /> <br /> <br />policies of indemnity and general liability insurance which will <br /> <br /> <br />cover such liability as may be imposed on Attorney by law or is <br /> <br /> <br />assumed by Attorney under this agreement, by reason of any act, <br /> <br /> <br />error or omission of Attorney or of any person retained or <br /> <br /> <br />employed by or associated with Attorney. <br /> <br />The limits of liability of each such policy for general <br /> <br />liabili ty insurance shall be no less than $500,000 for each <br /> <br />occurrence. <br /> <br />2 <br />
