The Directors shall maintain a <br />complete record of all business transactions and proceedings of <br />the members, and shall present a full statement of the condition <br />of the corporation at the regular meeting of the members. <br /> <br />ARTICLE VIII <br /> <br />Officers <br /> <br />Section 8.01. Officers. The officers of the corporation <br />shall be President, Vice President, Secretary and Treasurer. <br /> <br />section 8.02. Election. The officers shall be elected by, <br />and shall be members of, the Board. <br /> <br />section 8.03. Compensation. Officers shall receive no <br />compensation as salary from the corporation, but, subject to <br />specific approval by the Board, may be reimbursed for expenses in <br />carrying out corporate business. Such expenses shall be reported <br />to the Board and to the members during the month next following <br />the month in which such expenses were incurred. <br /> <br />ARTICLE IX <br /> <br />Duties of Officers <br /> <br />Section 9.0l.
