Compensation. Directors shall receive no <br />compensation from the corporation for their services in acting as <br />Directors. Nothing herein provided shall be deemed to prohibit <br />reimbursement by the corporation for expenses incurred by <br />Directors in carrying out corporate business. <br /> <br />Section 6.05. Term. The Directors shall be elected for a 3 <br />year term and each shall hold such office until their successors <br />are elected, except that the term of Directors elected at the <br />first membership meeting shall be as follows: Three Directors <br />shall serve for a term of 1 year, Four for a term of 2 years, <br />and Four for a term of 3 years. Thereafter, all Directors shall <br />be elected for the full 3 year term. <br /> <br />Section 6.06. Elections. Meetings. The Board .shall meet quarterly. <br /> <br />Section 6.10. Special Meetings. The President of the Board <br />may call a special meeting of the Board for any lawful purpose. <br />Each call for a special meeting shall be in writing and shall be <br />given to the members of the Board not less than 5 days prior to <br />the date of said meeting. <br /> <br />Section 6.11. Quorem. 6 Directors present with the right to <br />vote shall constitute a quorum of the Board. <br /> <br />ARTICLE VII <br /> <br />Powers and Duties of Directors <br /> <br />Section 7.01.
