<br />DES 'jk lO/24/88 (#36) <br />DE _jk lO/16/89R <br /> <br />request is received, the person or persons requesting the meeting <br />may give the notice. Nothing in this section shall be construed <br />as limiting, fixing or affecting the time in which the meeting of <br />members may be held when the meeting is called by the Board. <br /> <br />(c) No business other than the business of the general <br />nature which was set forth in the notice of the meeting may be <br />transacted in a special meeting. <br /> <br />(d) Notice of any meeting of members shall be in writing <br />and shall be given at least 14 but not more than 30 days before <br />the meeting date. The notice shall be given either personally or <br />by first-class (or equivalent) mail or by other means of written <br />communication, charges prepaid, and shall be addressed to each <br />member entitled to vote at the address of that member appearing <br />on the books of the corporation or at the address given by the <br />member to the corporation for purposes of notice. <br /> <br />Section 5.03. Quorem. At any meeting of members 7 members <br />present in person shall constitute a quorem for all purposes <br />including the election of Directors, except as otherwise provided <br />by law. <br /> <br />Section 5.04. By-Laws. The members shall have the authority <br />to amend these By-Laws by a vote of 3/4ths of all members present <br />at any annual meeting, or at a special meeting called for that <br />purpose. In the event By-Laws enacted by the members conflict <br />with, or are inconsistent with By-Laws adopted by the Board, the <br />provisions enacted by the members shall govern. <br /> <br />ARTICLE VI <br /> <br />Board of Directors <br /> <br />Section 6.01. Powers. Subject to the provisions and <br />limitations of the California Nonprofit Public Benefit <br />Corporation law and any other applicable laws, and subject to any <br />limitations of the Articles of Incorporation or By-Laws regarding <br />actions that require approval of the members, this corporation's <br />activities and affairs shall be managed, and all corporate powers <br />shall be exercised by, or under the direction of, the Board. <br /> <br />Section 6.02. Number. The authorized number of Directors <br />shall be 11, one of whom shall be the Mayor of the City of <br />Redwood City; provided that the Mayor may appoint any person who <br />is a resident of the City of Redwood City to serve on the Board <br />in his or her stead. <br /> <br />Section 6.03. Election.
