<br />MTC/City of Redwood City <br />Fair Oaks Community Shuttle <br />Lifeline Transportation Program Funding Agreement / Page 5 of 12 <br /> <br />1 O. INDEMNIFICATION <br /> <br />RECIPIENT shall indemnify, defend, and hold harmless MTC, its Commissioners, <br />representatives,ag ents and employees from and against all claims, injury, suits, demands, <br />liability, losses,d amages and expenses, whether negligent or otherwise wrongful (including any <br />and all costs and expenses in connection therewith), incurred by reason of any act or failure to <br />act of RECIPIENT, its officers, directors, employees, agents, or contractors or any of them in <br />connection with this Agreement. <br /> <br />11. AUDITS <br /> <br />RECIPIENT agrees to grant MTC, the U.S. Department of Transportation, FTA, the <br />Comptroller General ofthe United States, the State of California and their authorized <br />representatives access to the RECIPIENT's books and records for the purpose of verifying that <br />funds are properly accounted for and proceeds are expended in accordance with the terms of this <br />Agreement. All documents shall be available for inspection at any time while the Projecti s <br />underway and for the retention period specified in Article 12. <br /> <br />12. RETENTION OF RECORDS <br /> <br />RECIPIENT agrees to keep all records pertaining to the projectb eing funded for audit <br />purposes for a minimum ofthree (3) years following final payment to RECIPIENT or four (4) <br />years following the fiscal year ofthe last expenditure under this Agreement, whichever is longer, <br />in accordance with generally accepted accounting principles. Copies of RECIPIENT's audits, if <br />any, performed during the course of Project development and atP roject completion shall be <br />forwarded to MTC no later than one hundred eighty (180) days after fiscal year end close. <br /> <br />13. EQUAL EMPLOYMENT OPPORTUNITY <br /> <br />In accordance with Title VI ofthe Civil Rights Act, as amended (42 U.S.c. 92000d); <br />Section 303 ofthe Age Discrimination Acto f 1975, as amended (42 U.S.c. 9 6102); Section 202 <br />ofthe Americans with Disabilities Act of 1990 (42 U.S.c. 9 12132); and 49 U.S.c. 95332 for <br />FT A-funded projects, RECIPIENT agrees that it will not, on the grounds of race, religious creed, <br />color, national origin, age, physical disability or sex, discriminate or permitd iscrimination <br />against any employee or applicantf or employment. <br />
