DUPLICATE <br />0�- IC"I>NAL <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />(Jana Kiser) <br />This Amendment No.1 (the "Amendment No. 1 ") is entered into and effective as of <br />2020, by and between the City of Redwood City, a charter city and <br />municip�aT corporation of the State of California ("City"), and Jana Kiser, a CA sole <br />proprietorship ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed an Agreement for Services, dated as of <br />December 3, 2019, (the "Original Agreement"). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit A, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. Provisions 30-33 will be added to the Agreement to read as follows: <br />30. Consultant will perform the work under this Agreement as an <br />independent contractor and not as an employee of City. <br />31. Consultant agrees that the City has no right to control the manner and <br />means of the work performed under this Agreement. <br />32. Consultant agrees that they are not eligible for or entitled to participate <br />in or make any claim upon any benefit plan, policy, or practice offered by <br />City to any of their employees, regardless of the length of this Agreement; <br />and therefore, with full knowledge and understanding, Consultant hereby <br />expressly waives any claim or right that they may have, now or in the future, <br />to such benefits and agree not to make any claim for such benefits. <br />33. Consultant agrees to comply with all applicable federal, state and local <br />laws and regulations, including all applicable federal, state, and local laws <br />and regulations prohibiting discrimination and harassment. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />05-26-2020 RL <br />
