REV: 10-05-2022 RL <br />AMENDMENT NO. 5 <br />TO AGREEMENT FOR SERVICES <br />Jana Kiser <br />This Amendment No. 5 (the “Amendment No. 5”) is entered into and effective as <br />of _______________, 2022 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Jana Kiser, a California sole <br />proprietorship (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of December 3, 2019, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of June 8, 2020, Amendment No. 2 to the <br />Original Agreement ("Amendment No. 2"), dated February 2, 2021, Amendment No. 3 to <br />the Original Agreement (“Amendment No. 3”), dated June 15, 2021 and Amendment No. <br />4 to the Original Agreement (“Amendment No. 4”), dated March 4, 2022 (the Original <br />Agreement and Amendment Nos. 1, 2, 3 and 4 are collectively known as the <br />“Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 5, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Fifty Thousand Dollars <br />($50,000) for the completion of all Services, which sum will include all costs or expenses <br />incurred by Consultant. Including all amendments through Amendment No. 5, the total <br />amount payable under the Agreement will be a not-to-exceed amount of Two Hundred <br />Eighty Two Thousand Dollars ($282,000). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 5 will end when <br />the Consultant has performed the Services completely. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 5. <br />5. The individuals executing this Amendment No. 5 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 5. <br />ATTY/AGR.2022-Amend No. 5/Jana Kiser (Page 1 of 3) <br />December 1
