REV: 12-15-2022 RL AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES Star Elevator, Inc. This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of January 24, 2023, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Star Elevator, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of January 24, 2020, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No.1”), dated as of January 24, 2021. C. The Parties previously executed Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of January 24, 2022 (the “Original Agreement” and “Amendments No. 1 and 2” are collectively known as the “Agreement”) D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No.3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Seventy Thousand Dollars ($70,000) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not- to-exceed amount of Two Hundred Eighty Thousand Dollars ($280,000). 2. Unless terminated earlier, the term of this Amendment No. 3 will be a period of one year from the effective date of this Amendment No. 3. Including all amendments, through Amendment No.3, the total term of this Agreement is four years from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 3. 5. The individuals executing this Amendment No. 3 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the ATTY/AGR.2022-Amend No. 3/Star Elevator, Inc.
