EXHIBIT A <br />1. Scope of Services <br />Overview: <br />Bioforcetech ("Vendor") will perform the services specified herein as a pilot project with <br />the City of Redwood City ("City"), namely, to sell the City soil amendment for the City to <br />use in the City's landscaping areas. Through a contract Vendor has with Silicon Valley <br />Clean Water ("SVCW'), SVCW provides Vendor with Biosolids (as defined in the <br />Agreement) from its wastewater treatment facility. Vendor operates a heating system that <br />converts these Biosolids into energy, which produces a byproduct called "Biochar" (as <br />defined in the Agreement). Biochar is created through thermal decomposition where <br />Biosolids are heated to 1,650° F, resulting in a charcoal -like product that can be used as <br />a soil amendment. Through its certification, licensing, and compliance with local, state, <br />and federal laws, Vendor confirms that this soil amendment is safe to use and is in <br />compliance with all applicable federal, state and local laws. Vendor estimates it will <br />produce a total of 400 tons of Biochar per year. The City's Parks, Recreation and <br />Community Services Department ("PRCS") routinely uses soil amendments (other than <br />Biochar) in planting areas to help with water retention and improve soil conditions. The <br />City wishes to use Vendor's Biochar under the surface of landscape project test areas in <br />medians that include planting of new trees and shrubs. As the City intends to apply <br />Biochar underground, members of the public should not have any contact with Biochar. <br />Vendor's Responsibilities: <br />Vendor will bag Biochar in one (1) cubic yard Bulk Bags. <br />Vendor will prepare Bulk Bags for pick-up by the City onsite at 1400 Radio Road <br />as needed. <br />• Vendor will produce signage for the City to place onsite next to the designated test <br />area in a visible location. The signage will include a description of Biochar, the <br />benefits of Biochar, and a statement that the area is part of a pilot project in <br />partnership with the City. Signage shall be one (1) "Yard Sign" per test area with a <br />maximum size of 18 inches by 24 inches. Vendor will deliver signage to City as <br />directed. <br />• Vendor will maintain all required federal and state certificates and product safety <br />licenses. <br />Vendor will maintain its labeling as a "natural soil amendment." <br />Vendor shall comply with all local, state, and federal laws, including the Code of Federal <br />Regulations, Title 40, Part 503 — Standards for the Use or Disposal of Sewage Sludge <br />("40 CFR Part 503"). 40 CFR Part 503 establishes standards, which consist of general <br />REV: 12-20-19 PR v <br />
