Integration. This Agreement, including the scope of work attached hereto <br />and incorporated herein as Exhibits A and B, represents the entire and integrated <br />Agreement between City and the Contractor and supersedes all prior negotiations, <br />representations or agreements, either written or oral. Where the terms and conditions <br />set forth in Exhibits A through C conflict with the terms and conditions of this <br />Agreement, the terms and conditions of this Agreement shall prevail. This Agreement <br />may be modified or amended only by a subsequent written agreement signed by both <br />parties. <br />17. Miscellaneous. The laws of the State of California shall govern this <br />Agreement and all matters relating to it and venue for state court shall be in Redwood <br />City and for federal court in San Francisco. In the performance of this Agreement, <br />Contractor shall abide by and conform to any and all applicable laws, including, but not <br />limited to the Redwood City Municipal Code. <br />Nothing in this Agreement shall obligate any Robert Half International Inc. branch office, <br />other than Robert Half's OfficeTeam and Accountemps divisions of the San Mateo, CA <br />branch office to perform services under the terms and conditions contained herein. <br />Notwithstanding the foregoing, Robert Half International Inc. shall be responsible for any <br />liability or claim arising out of the OfficeTeam and Accountemps divisions of the San <br />Mateo, CA branch office's performance of the services under the terms of this <br />Agreement. <br />18. City Responsibilities. City shall supervise Assigned Personnel providing <br />services to City. City shall not permit or require Assigned Personnel (i) to perform <br />services outside of the scope of his or her assignment; (ii) to sign contracts or <br />statements (including SEC documents); (iii) to make any management decisions; (iv) to <br />make any final decisions regarding system design, software development or the <br />acquisition of hardware or software; (v) to sign, endorse, wire, transport or otherwise <br />convey cash, securities, checks, or any negotiable instruments or valuables; (vi) to <br />perform services remotely (e.g., on premises other than City's or City's customer's <br />REV: 01-23-20 MI <br />ATTY/AGR.2020.011/OfficeTeam, A Robert Half Company (Page 5 of 13) <br />14 <br />
