REV: 10-14-21 SK <br />AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES <br />(City Consultants & Research, LLC) <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of _____________, 2021, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and City Consultants & Research, <br />LLC, a California limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services dated <br />as of February 21, 2020, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of June 15, 2020 (the Original Agreement and <br />Amendment No. 1 are collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Seven Thousand Seven <br />Hundred Fifty Dollars ($7,750) for the completion of all the services described in Exhibit <br />“A”, which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 2, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Thirty Two Thousand Seven Hundred Fifty Dollars <br />($32,750). City will pay Consultant from the HOME Investment Partnerships American <br />Rescue Plan Program (HOME-ARP) funds awarded to the City by the U.S. Department <br />of Housing and Urban Development (HUD) for administration and planning costs, <br />including the HOME-ARP allocation plan. Costs directly related to preparation of the <br />HOME-ARP allocation plan are an eligible cost of HOME-ARP funding according to CPD <br />Notice 21-10. <br />3. Consultant is subject to the requirements in 24 CFR part 92, as applicable, <br />except subsections 92.505 (Applicability of Uniform Administrative Requirements) and <br />92.506 (Audit) do not apply, and Consultant does not assume the responsibilities for <br />environmental review, decision-making, and action under subsection 92.352 <br />(Environmental review). <br />ATTY/AGR.2021/Amend.
