REV: 01-24-2022 SK <br />AMENDMENT NO. 3 <br />TO AGREEMENT FOR SERVICES <br /> (City Consultants & Research, LLC) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of January ____, 2022 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and City Consultants & Research, <br />LLC, a California limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services dated <br />as of February 21, 2020, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of June 15, 2020 and Amendment No. 2 to <br />the Original Agreement (“Amendment No. 2”), dated as of October 26, 2021 (the Original <br />Agreement, Amendment No. 1 and Amendment No. 2” are collectively known as the <br />“Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Sixteen Thousand and <br />Five Hundred Dollars ($16,500) for the completion of all the services described in Exhibit <br />“A”, which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 3, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Fifty One Thousand and Two Hundred and Fifty Dollars <br />($51,250). <br /> <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />5. The individuals executing this Amendment No. 3 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 3. <br />ATTY/AGR.2022-Amend No. 3/City Consultants & Research (Page 1 of 6) <br />28
