<br />The commercial general and automobile liability insurance shall name the City of <br /> <br />Redwood City, its Council, boards, commissions, officers, agents and employees as <br /> <br />additional insureds and shall indemnify City and said persons against liability for loss or <br /> <br />damage for personal injury including death, and property damage occasioned by the <br /> <br />operations of Owner or Owner's contractors or subcontractors under the terms of this <br /> <br />Agreement. <br /> <br />The policies mentioned herein shall contain a provision that City shall receive an <br /> <br />unconditional notice in writing thirty (30) days in advance of an insurer's intention to <br /> <br />cancel or materially to change the terms of said policies given to City. <br /> <br />The commercial general liability and automobile liability policies shall include the <br /> <br />following provisions: <br /> <br />a. The Contractor's insurance shall be primary insurance relating to <br /> <br />Contractor's work hereunder with respect to City, its Council, <br /> <br />commissions, boards, committees, officers, employees and Agents, and <br /> <br />shall further provide that any insurance or self-insurance maintained by <br /> <br />City for itself, its Council, commissions, boards, committees, officers, <br /> <br />employees and agents shall not be excess of Contractor's insurance and <br /> <br />shall not be contributory with it. <br /> <br />b. If such insurance covers Owner, other entity, or person(s) in <br /> <br />addition to the City of Redwood City, such policy shall contain the <br /> <br />standard form of cross liability or severability of interest endorsement. <br /> <br />The endorsement shall provide that Contractor's insurance shall apply <br /> <br />separately to each insured against whom claim is made or suit is brought, <br /> <br />except with respect to the limits of the insurer's liability (cross liability <br /> <br />endorsements) . <br /> <br />ATTY/AGR/2008.001 <br />1n/08 <br /> <br />5 <br />
