The Manager or his/her designee shall <br />have sole discretion whether to accept Consultant's personnel proposed for <br />assignment. <br />In the event that Consultant, at any time during the term of this Agreement, <br />desires to reassign, substitute or remove Assigned Personnel, Consultant <br />shall notify the Manager five (5) business days before the day of <br />reassignment, substitution or removal. The Manager or his/her designee <br />shall have sole discretion whether to accept Consultant's personnel <br />proposed for reassignment or substitution. <br />j. If disclosure under the Political Reform Act and the City's Conflict of Interest <br />Code is required of Consultant or any of Consultant's employees, <br />Consultant or Consultant's affected employees shall complete and file with <br />the City Clerk those schedules specified by City and contained in the <br />Statement of Economic Interests Form 700. <br />V. Consultant, for Consultant and on behalf of Consultant's employees, warrants that <br />by execution of this Agreement, that they have no interest, present or <br />contemplated, in the projects affected by this Agreement. Consultant further <br />warrants that neither Consultant, nor Consultant's employees, have any ancillary <br />real property, business interest, or income that shall be affected by this Agreement <br />or the projects affected by this Agreement or, alternatively, that Consultant shall <br />file with City an affidavit disclosing this interest. <br />a. The Consultant and Consultant's employees agree not to disclose <br />confidential information received as a result of the assignment with the City <br />to any third party, and agree to treat it with the same degree of care as it <br />would its own confidential information. It is understood, however, that the <br />Manager or his/her designee may require Assigned Personnel to transmit <br />confidential information in whole or in part during the course of or related to <br />an assignment. The Assigned Personnel shall not use for his- or herself, or <br />disclose or divulge to others, including future employers, any confidential <br />information received as a result of the assignment with the City. Additionally, <br />the Assigned Personnel agrees not to acquire any right or title to such <br />confidential information. The Consultant shall inform all Assigned Personnel <br />providing temporary services pursuant to this Agreement of their obligation <br />under this clause. <br />VI. Termination of Assignment <br />a. The Manager or his/her designee, in their sole discretion, may request the <br />removal of any Assigned Personnel, and Consultant shall remove such <br />person or persons immediately upon receiving written request from the <br />Manager or his/her designee. <br />b. The Consultant is responsible for informing the Assigned Personnel when <br />an assignment is terminated, whether for unsatisfactory performance, the <br />end of the assignment, or another reason. <br />REV: 07-15-2020 PR <br />ATTY/AGR.2020.126/GIS Inc.
