6.A. - Page 4 of 7 AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES (HdL Software, LLC) This Amendment No. 3 (the "Amendment No. 3") is entered into and effective as of September , 2020 (the "Effective Date"), by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and HdL Software, LLC, a California Limited Liability Company ("Consultant") (collectively, the "Parties") for business license software and services. RECITALS A. The Parties previously executed that certain Agreement for Business License Software and Services, dated as of March 3, 2019 (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of May 31, 2019. C. The Parties previously executed Amendment No. 2 to the Original Agreement ("Amendment No. 2"), dated as of August 14, 2019 (the "Original Agreement," "Amendment No. 1," and "Amendment No. 2" are collectively known as the "Agreement"). D. While the Agreement expired on March 3, 2020, the Parties continued to work together to ensure the continuation of service delivery. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 3, and authorize the payment to Consultant for services rendered for the period from March 3, 2020, to the Effective Date of this Amendment No. 3. E. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. Specifically, Consultant has agreed to license to City certain business license software and provide related maintenance services for three (3) additional years, with two (2) one-year extension options at the City's discretion, in exchange for annual use fees as specified in Exhibit A. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit A, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant for the completion of all the services described in this Amendment No. 3 a total amount of Fifty -Eight Thousand Six Hundred and Eighty - Eight and 05/100 Dollars ($58,688.05) (Thirty -Four Thousand One Hundred and Sixty - Seven and 32/100 Dollars ($34,167.32) for an additional three (3) years and, if extended, Twenty -Four Thousand Five Hundred Twenty and 73/100 Dollars ($24,520.73) for two (2) additional one-year extension options) as further specified in Exhibit A, which sum will :aaRIVIN&VAIyA1119M ATTY/AGR.Amend.
