6.B. - Page 10 of 39 <br />The Parties agree to allocate the total actual costs of the PREP Phase 3 Feasibility Study <br />among the Parties, with each Party's individual share of the total actual costs not to exceed <br />the following amounts: <br />• SVCW: $35,750 <br />• San Mateo: $35,750 <br />• BAWSCA: $10,000 <br />• Cal Water: $20,000 <br />• Redwood City: $20,000 <br />• SFPUC: $160,661 <br />After all Parties have approved and executed this Agreement, SVCW will prepare and <br />transmit to the other Parties invoices for their respective shares of the costs of the PREP <br />Phase 3 Feasibility Study. The invoice that SVCW prepares and transmits to each Party <br />shall be for the individual Parry's not -to -exceed amount as specified in this Section. The <br />Parties will pay SVCW their individual shares promptly, in a single payment, upon receipt <br />of SVCW's invoices. SVCW will use the funds collected from the other Parties, and its <br />own financial contribution specified above, to pay the invoices SVCW receives from the <br />Consultant for its performance of services under the Contract. <br />After the completion of the PREP Phase 3 Feasibility Study, SVCW will return to the <br />Parties as a reimbursement any funds collected by SVCW under this Agreement that were <br />not expended to pay for Consultant's services for the PREP Phase 3 Feasibility Study in <br />the following proportions: <br />• San Mateo: 12.75% <br />• BAWSCA: 3.5% <br />• Cal Water: 7% <br />• Redwood City: 7% <br />• SFPUC: 57% <br />If a Party chooses to terminate its participation under the terms of this Agreement, said <br />Party shall remain financially responsible for its individual share of the total actual costs <br />of the PREP Phase 3 Feasibility Study as specified in Section 12, Termination. <br />9.
