6.B. - Page 9 of 39 <br />a) Subject to approval by SVCW's governing board, serve as the Contracting Entity, <br />managing and administering the Contract with the Consultant to develop the PREP <br />Phase 3 Feasibility Study, as described in the Consultant Scope of Work <br />(Attachment 1) approved by all Parties. <br />b) Prepare and transmit to the other Parties invoices for their respective shares of the <br />total costs of the PREP Phase 3 Feasibility Study, per Section 8 of this Agreement. <br />c) Receive and pay all invoices from the Consultant for services rendered under the <br />Contract to develop the PREP Phase 3 Feasibility Study. Costs for the Consultant's <br />services shall be shared among the Parties as described in Section 8 of this <br />Agreement. <br />d) Instruct the Consultant to communicate with all Parties directly about the <br />development of the PREP Phase 3 Feasibility Study and related activities and <br />deliverables. <br />e) Instruct the Consultant to distribute both draft and final deliverables for the PREP <br />Phase 3 Feasibility Study to all Parties directly for review and comment. <br />f) Return to the Parties as a reimbursement any funds collected by SVCW under this <br />Agreement that are not expended to pay for the Consultant's services for the PREP <br />Phase 3 Feasibility Study, per Section 8 of this Agreement. <br />g) Ensure that the Consultant abides by the terms of the SVCW-Consultant Agreement <br />(Attachment 1). <br />7. ADDITIONAL ROLES AND RESPONSIBILITIES OF SFPUC <br />The SFPUC will commit staff time, and coordinate with the Consultant, to produce the <br />technical memorandum ("TM") regarding Regional Water System ("RWS") <br />considerations described in Task 1.6 of the Consultant Scope of Work (Attachment 1), <br />which states in part: <br />SFPUC to develop TM #2 describing RWS considerations, assumptions and <br />outcomes of the evaluation with summary tables, maps and graphs. SFPUC to <br />provide a Draft and Final TM #2 for inclusion as an appendix to the Phase 3 Study <br />(Task 3). <br />8. COST SHARING AND PAYMENT <br />The Parties agree that the total financial contribution of all Parties toward the development <br />and preparation of the PREP Phase 3 Feasibility Study, based on the Consultant's estimate <br />of the total costs for the services in the Consultant Scope of Work (Attachment 1), shall not <br />exceed $282,161. <br />REV: 10-06-2020 MI <br />31 <br />ATTY/AGR.2020.216/MOA- SVCW, SFPUC, BAWSCA, Cal -Water, City of San Mateo (Page 6 of 36) <br />
