Fxhihit "A" <br />INSURANCE <br />1. Insurance. Vendor will obtain and maintain for the duration of the Agreement and <br />any and all amendments, insurance of the types and limits listed below to protect against <br />claims for injuries to persons or damage to property which may arise out of or in <br />connection with delivery of the Goods or performance of the Services by Vendor or <br />Vendor's agents, representatives, employees or subcontractors under this <br />Agreement. The insurance carrier is required to maintain an A.M. Best rating of not less <br />than "A -:VII". <br />1.1 Coverages and Limits. Vendor, at its sole expense, will maintain the types <br />of coverages and limits indicated below, unless otherwise approved by City in <br />writing. These required amounts of coverage will not constitute any limitations or <br />cap on Vendor's indemnification obligations under this Agreement. <br />1.1.1 Commercial General Liability Insurance. Vendor will maintain <br />occurrence based coverage with limits of $2,000,000 per occurrence and <br />$4,000,000 general aggregate. The Commercial General Liability insurance <br />policy will include the City, its officers, agents, employees and volunteers <br />as additional insureds. Except in the event that any claim or loss arises out <br />of the negligence or willful misconduct of the City, its officers, agents, <br />employees or volunteers, such insurance will be primary to and will not <br />contribute with any insurance or self-insurance maintained by the City. <br />1.1.2 Business Automobile Liability Insurance. Vendor will maintain <br />coverage with a combined single limit of $1,000,000 per each accident for <br />owned, hired and non -owned automobiles. <br />1.1.3 Workers' Compensation and Employer's Liability Insurance. Vendor <br />will maintain coverage as required by the California Labor Code and <br />Employer's Liability insurance with limits of $1,000,000 per each accident <br />for bodily injury or $1,000,000 per employee and policy limit for disease. <br />The Worker's Compensation policy will contain an endorsement stating that <br />the insurer waives any right to subrogation against the City, its officers, <br />agents, employees, and volunteers. The Workers' Compensation and <br />Employer's Liability Insurance will not be required if Vendor provides the <br />City with a declaration, to the City's satisfaction, that Vendor has no <br />employees. <br />1.1.6 Vendor must carry Cyber Liability Insurance with limits of $1,000,000 per claim and <br />$2,000,000 annual aggregate. Coverage will be sufficiently broad to respond to the duties <br />and obligations as is undertaken by Vendor in this agreement and will include, but not be <br />limited to, claims involving invasion of privacy violations, information theft, damage to or <br />destruction of electronic information, release of private information, alteration of electronic <br />REV: 10-12-2020 RL <br />ATTY/AGR.Amend.
