Fxhihit "A" INSURANCE 1. Insurance. Vendor will obtain and maintain for the duration of the Agreement and any and all amendments, insurance of the types and limits listed below to protect against claims for injuries to persons or damage to property which may arise out of or in connection with delivery of the Goods or performance of the Services by Vendor or Vendor's agents, representatives, employees or subcontractors under this Agreement. The insurance carrier is required to maintain an A.M. Best rating of not less than "A -:VII". 1.1 Coverages and Limits. Vendor, at its sole expense, will maintain the types of coverages and limits indicated below, unless otherwise approved by City in writing. These required amounts of coverage will not constitute any limitations or cap on Vendor's indemnification obligations under this Agreement. 1.1.1 Commercial General Liability Insurance. Vendor will maintain occurrence based coverage with limits of $2,000,000 per occurrence and $4,000,000 general aggregate. The Commercial General Liability insurance policy will include the City, its officers, agents, employees and volunteers as additional insureds. Except in the event that any claim or loss arises out of the negligence or willful misconduct of the City, its officers, agents, employees or volunteers, such insurance will be primary to and will not contribute with any insurance or self-insurance maintained by the City. 1.1.2 Business Automobile Liability Insurance. Vendor will maintain coverage with a combined single limit of $1,000,000 per each accident for owned, hired and non -owned automobiles. 1.1.3 Workers' Compensation and Employer's Liability Insurance. Vendor will maintain coverage as required by the California Labor Code and Employer's Liability insurance with limits of $1,000,000 per each accident for bodily injury or $1,000,000 per employee and policy limit for disease. The Worker's Compensation policy will contain an endorsement stating that the insurer waives any right to subrogation against the City, its officers, agents, employees, and volunteers. The Workers' Compensation and Employer's Liability Insurance will not be required if Vendor provides the City with a declaration, to the City's satisfaction, that Vendor has no employees. 1.1.6 Vendor must carry Cyber Liability Insurance with limits of $1,000,000 per claim and $2,000,000 annual aggregate. Coverage will be sufficiently broad to respond to the duties and obligations as is undertaken by Vendor in this agreement and will include, but not be limited to, claims involving invasion of privacy violations, information theft, damage to or destruction of electronic information, release of private information, alteration of electronic REV: 10-12-2020 RL ATTY/AGR.Amend.
