The policy will provide coverage for breach <br />response costs as well as regulatory fines and penalties, as well as credit monitoring <br />expenses with limits sufficient to respond to these obligations. Except in the event that <br />any claim or loss arises out of the negligence or willful misconduct of the City, its officers, <br />agents, employees or volunteers, such insurance will be primary to and non-contributory <br />with any insurance or self-insurance maintained by the City. <br />1.2. Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled without Vendor <br />providing thirty (30) days prior written notice to City sent pursuant to the Notice <br />provisions of this Agreement. <br />1.3 Providing Certificates of Insurance and Endorsements. Prior to City's <br />execution of this Agreement, Vendor will provide to City certificates of insurance <br />and above -referenced endorsements sufficient to the reasonable satisfaction of <br />City's Risk Manager. In no event will Vendor commence any work or provide any <br />Services under this Agreement until certificates of insurance and endorsements <br />have been accepted by City's Risk Manager. <br />1.4 Failure to Maintain Coverage. If Vendor fails to comply with these insurance <br />requirements, then City will have the option to declare Vendor in breach. <br />1.5 Submission of Insurance Policies. In the event that the City has a reasonable <br />expectation of defense and/or indemnification with respect to a third party claim under the <br />terms of this Agreement and the Vendor or its insurer declines to accept the City's tender <br />of such claim, the Vendor shall furnish the City with copies of the relevant insurance <br />policy(ies) and endorsement(s). <br />REV: 10-12-2020 RL <br />ATTY/AGR.Amend.
