6.1. - Page 2 of 9 and to mitigate this potential issue Sensus has agreed to replace each of the disputed meters for the City at their own expense. Sensus will also hire a third -party contractor to perform the work at their own expense. Thus, there is no direct cost to the City for replacement of the meters. City staff will be limited to assisting the contractor as needed by locating water meters, and providing required information necessary to complete the replacements. Staff recommends approval of the settlement as delineated Settlement and Release Agreement. As part of the agreement, Sensus has also agreed to indemnify the City from any claims related to the meters, the dispute, or underlying facts arising from the dispute for a period of three years following the installation of all replaced meters. FISCAL IMPACT There is no direct cost to the City for replacement of these meters. Minimal City staff time will be required to assist the third -party contractor with locating meters, and processing meter change information into the City's Utility Billing System. ENVIRONMENTAL REVIEW This activity meets the California Environmental Quality Act (CEQA) exemption criteria as set forth in CEQA Guidelines, section 15302 (Class 2), because it involves replacement of existing structures and facilities where the new structure will be located on the same site as the structure replaced and will have substantially the same purpose and capacity as the structure replaced. PUBLIC NOTICE Public notification was achieved by posting the agenda, with the agenda items being listed, at least 72 hours prior to the meeting. ALTERNATIVES The City Council may elect to not approve this agreement and direct staff to replace the meters at the City's expense.
