(c) Amounts due to EnSight will be billed to Customer on an annual basis and will be due and payable within 30 days after the date of the billing invoice. Customer shall pay when due all amounts billed without deduction or setoff of any amounts owed or claimed to be owed by EnSight to Customer, whether arising under this Services Agreement or otherwise. EnSight will submit invoices for Noncovered services monthly, if Noncovered services are performed. (d) In the event that any amounts due and payable under this Services Agreement are not paid when due, Customer will pay a late charge of $25.00 for each invoice that includes a past due balance. In addition to the administrative late charge, past due amounts will bear interest at the rate of one -and -one half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, for the period commencing on the due date until the past due amounts are paid in full. 6. Term of Agreement The initial term of this Services Agreement shall begin upon signature date of the agreement (the "Commencement Date") and shall continue in effect for a period of three (3) years (the "Expiration Date"), unless terminated earlier in accordance with the provisions of this Services Agreement. At the Expiration Date, unless either party has given at least 60 days' written notice of termination on the Expiration Date or the parties have entered into a new Services Agreement to be effective after the Expiration Date, this Services Agreement the term shall automatically extend for one (1) year periods thereafter unless either party provides notice of its intent not to renew within 90 days of the end of the then current term. Either party may terminate this Services Agreement at any time for any reason by giving 60 days' written notice to the other party. The amount of the Agreement Price specified in section 5(a) shall automatically increase for each renewal term to reflect any changes in the Consumer Price Index for All Urban Consumers, U.S. City Average as published by the Bureau of Labor Statistics of the U.S. Department of Labor (CPI -U) plus 3%. If EnSight determines that the CPI -U for any period during the term of this Services Agreement does not adequately reflect increases in prices and costs incurred by EnSight in connection with its performance of Services covered herin, EnSight may adjust the Agreement Price by an amount greater than the increase in the CPI -U for that period to adequately reflect those price and cost increases. 201 362
