Except as otherwise stated, all notices provided under this Agreement must be in writing and delivered by regular and certified mail. Each Party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 26. Conflict of Interest. If disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Contractor or any Contractor Personnel, Contractor or Contractor Personnel will complete and file with the City Clerk the Statement of Economic Interests Form 700. Contractor, for Contractor and on behalf of all Contractor Personnel, warrants by execution of this Agreement that they have no interest, present or contemplated, in the projects affected by this Agreement. Contractor further warrants that neither Contractor, nor any Contractor Personnel have any ancillary real property, business interests or income that will be affected by this Agreement or, alternatively, that Contractor will file with City an affidavit disclosing this interest. 27. General Compliance with Laws. Each Party's performance hereunder shall comply with all applicable federal, state, and local laws, ordinances, and regulations. Contractor will keep fully informed of federal, state and local laws and ordinances and regulations, which in any manner affect those, employed by Contractor, or in any way affect the performance of the Services by Contractor. Contractor will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of the Services with all applicable laws, ordinances and regulations. To the extent that City directs Contractor to take a certain action related to the Services, such as displaying certain content on digital signage, approving plans to deploy a hardware device in a specific location, or making data available via API or website, City will be responsible for the compliance of these elements of the Services with all applicable laws, ordinances and regulations. Any changes in laws, ordinances, or regulations that affect the Hardware or Services and that occur after Final Acceptance shall be addressed by the Parties as a change to the Agreement. 28. Discrimination and Harassment Prohibited. Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 29. Termination. 29.1 Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. 29.2 If Contractor materially fails or refuses to perform any of the provisions of this Agreement, and if Contractor does not cure the default within thirty (30) days of the City providing a written notice specifying the nature of the default, City may terminate this Agreement immediately by giving written notice to Contractor.
