9.11 Any warranty claims for Defects are subject to a limitation period beginning at <br />Substantial Completion and ending upon the termination of this Agreement. <br />9.12 Disclaimer of Warranties. EXCEPT AS EXPRESSLY STATED IN THIS <br />AGREEMENT, ALL WARRANTIES, EXPRESS OR IMPLIED, BY OPERATION OF LAW <br />OR OTHERWISE ARE HEREBY EXCLUDED. CONTRACTOR DISCLAIMS ANY <br />IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR <br />PURPOSE, NON -INFRINGEMENT, AND WARRANTIES ARISING DUE TO USAGE OF <br />TRADE OR COURSE OF PERFORMANCE. <br />10. City Obligations <br />To support successful delivery of the Services, City shall have the following cooperation <br />and performance obligations. In case of City's non-compliance with these obligations, the <br />parties shall negotiate a reasonable adjustment of the Agreement's terms. <br />10.1 Confirm by signing this Agreement that each installation location indicated on a plan <br />in Exhibit A or Exhibit E is a valid installation location controlled by the City such that the <br />City will be able to grant access for Contractor to install hardware at each location and <br />meet the other location -specific obligations in this Section. <br />10.2 Provide 24/7 power supply in accordance with Contractor's specifications at each <br />installation location. <br />10.3 Provide access to the planned installation locations in accordance with Contractor's <br />specifications, including lampposts and buildings as shown on the plans in Exhibit "A" and <br />Exhibit "E" and ensure suitability of these locations for mounting Contractor's hardware. <br />10.4 Perform annual cleaning of the sensors and signage as part of the cleaning of the <br />lighting or as needed according to the cleaning instructions of the Contractor (the cost of <br />one annual cleaning per year has been included in the optional Warranty Labor fees). <br />10.5 Provide access to the locations during normal office hours, including approving any <br />necessary permits and reserving space to place cherry pickers, as needed in accordance <br />with the project schedule and location -specific requirements. <br />10.6 Provide any information, which Contractor requires in order to provide its Services <br />in accordance with this Agreement. <br />10.7 Cooperate in technical test and trial runs during normal working hours. <br />10.8 Cooperate in remedying disruptions within the City's reasonable control <br />REV: 12-10-2020 SK <br />ATTY/AGR.2020.282/Cleverciti (Parking Guidance System Project) (Page 46 of 54) <br />
