EXHIBIT "A" <br />SCOPE OF SERVICES AND FEE <br />1) Consultant will design, develop and implement a business process automation <br />software solution based on agreed written specifications. <br />2) The development of Custom Software will be performed at Consultant's facility and <br />remotely. <br />3) During its performance of the Services, Consultant will include the following tasks. <br />a) Development of Custom Software (defined above) according to the functional <br />specifications created by the parties. <br />b) Resolve Custom Software problems and/or software defects, as identified and <br />documented by City. <br />c) Web -based training. <br />d) Development of customized training materials. <br />e) Development of customized documentation. <br />4) At the completion of this Agreement, Consultant delivers the following components: <br />a) Delivery and installation of Custom Software according to the Work <br />Breakdown Structure and the Scope of Services. <br />b) Completed custom documentation. <br />c) Completed custom training program. <br />5) Consultant may subcontract any portion of the Services. <br />6) All work shall be done remotely.
