C. Reports and Documents; Payment <br />In the event of termination, Contractor shall deliver to City copies of all reports, documents <br />and other work performed by Contractor under this agreement and upon receipt thereof, <br />Contractor shall be paid for duties performed and reimbursable expenses incurred to the <br />date of termination. <br />SECTION 14. DAMAGE OR DESTRUCTION <br />A. Partial Destruction <br />In the event of partial destruction of the Parking Facility, City may elect to repair such <br />damage. If City elects not to repair such damage, City may terminate this agreement as <br />it applies to the site by giving written notice to Contractor within thirty (30) days of the <br />partial destruction, in which event this Agreement shall be deemed terminated as of the <br />date of the partial destruction. If City elects to repair such damage, this Agreement shall <br />continue in full force and effect. Should portions of the affected Parking Facility continue <br />to operate, Contractor shall be paid and reimbursed for expenses proportionally to <br />services provided. <br />B. Total Destruction <br />If a Parking Facility is totally destroyed from any cause, whether or not covered by the <br />insurance required hereunder, City may terminate this Agreement as it applies to the site <br />immediately upon written notice to Contractor. <br />C. Damage Near End of Term <br />If a Parking Facility is partially destroyed during the last 12 months of the term of this <br />Agreement from any cause, whether or not covered by the insurance required hereunder, <br />City may, at its option, terminate this Agreement by giving written notice to Contractor <br />within thirty (30) days after the date of the partial destruction, of City's intention to <br />terminate, in which event this Agreement shall terminate as of the date of the partial <br />destruction. <br />SECTION 15. SUCCESSORS AND ASSIGNS <br />Each and all of the conditions and covenants of this Agreement shall extend to and bind <br />to the benefit of City and Contractor, and the legal representatives, successors and <br />assigns of either or both of them. <br />SECTION 16. ASSIGNABILITY <br />Contractor shall not assign or transfer any interest in this Agreement and City shall not <br />honor the performance of any of Contractor's obligations hereunder by any purported <br />assignee without the prior written consent of City.
