SECTION 17. WAIVER Both parties agree that waiver by a party of any breach or violation of any term or condition of this Agreement shall not be deemed to be a waiver of any other term or condition contained herein nor a waiver of any subsequent breach or violation of the same or any other term or condition. The acceptance by a party of the performance of any work or duties by the other party shall not be deemed to be a waiver of any term or condition of this Agreement. SECTION 18. COMPLIANCE WITH LAWS Contractor shall comply with all applicable Federal, State, and local laws, ordinances, codes and regulations. SECTION 19. GOVERNING LAW Any action at law or in equity brought by either City or Contractor for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive all provisions of law providing for a change of venue in these proceedings to any other county. SECTION 20. EQUAL EMPLOYEMENT OPPORTUNITIES During the performance of this Agreement, Contractor, for itself, its assignees and successors in interest, agrees as follows: A. Nondiscrimination Contractor, with regard to the work performed by it pursuant to this Agreement, shall not discriminate directly or indirectly on the ground of race, color, religion, sex, national origin, age, marital status, physical handicap or sexual orientation in employment procedures and policies, or the selection and retention of Sub Contractors, including procurement of materials and leases of equipment. The parties hereby incorporate the requirements of 41 C.F.R. §§ 60-1.4(x)(7), 29 C.F.R. Part 471, Appendix A to Subpart A, 41 C.F.R. § 60-300.5(a) and 41 C.F.R. § 60-741.5(a), if applicable. This contractor and subcontractor shall abide by the requirements of 41 C.F.R. §§§ 60-1.4, 60-300.5(a) and 41 C.F.R. § 60-741.5(a). These regulations prohibit discrimination against qualified minorities, women, protected veterans and qualified individuals on the basis of disability, and require affirmative action by covered prime contractors and subcontractors to employ and advance in employment qualified minorities and women, protected veterans and qualified individuals with disabilities.
