B. Solicitations for Sub Contractors. Includinq Procurement of Materials and <br />Equipment <br />In all solicitations either by competitive bidding or negotiations made by Contractor for <br />work to be performed under any subcontract, including procurement of materials or <br />equipment, each potential subcontractor or supplier shall be notified by Contractor of <br />Contractor's obligation under this Agreement and the regulations relative to <br />nondiscrimination on the ground of race, color, religion, sex, national origin, age, marital <br />status, physical handicap or sexual orientation. <br />C. Information and Reports: <br />Contractor shall provide all information and reports required by any State, Federal or <br />Local Regulations, or orders and instructions issued pursuant thereto, and will permit <br />access to its books, records, accounts, other sources of information issued pursuant <br />thereto, and will permit access to its books, records, accounts, other sources of <br />information and its facilities as may be determined by the City to be pertinent to ascertain <br />compliance with such regulations, orders and instructions. Where any information <br />required is in the exclusive possession of another that fails or refuses to furnish this <br />information, Contractor shall so certify to the City and shall set forth what efforts it has <br />made to obtain the information. <br />D. Incorporation of Provisions <br />Contractor shall include the provisions of Paragraphs A through C of this section in every <br />subcontract, including procurement of materials and leases of equipment, unless exempt <br />by law, order, or instructions issued pursuant thereto. Contractor shall take such action <br />with respect to any subcontract or procurement as the City may direct as a means of <br />enforcing such provisions including sanctions for noncompliance. <br />SECTION 21. INDEMNIFICATION <br />21.1 Consultant will defend, indemnify and hold harmless (collectively "Indemnify") City <br />and its officers, boards and commissions, agents, employees and volunteers (collectively <br />"Indemnitees") from and against all claims, damages, losses and expenses including <br />attorney fees (collectively "Losses") arising out of the performance of the Services, <br />caused or claimed to be caused by the acts, errors and/or omissions of Consultant, or <br />any Consultant Personnel or anyone for whose acts any of them may be liable <br />(collectively, "Responsible Parties"). Consultant's responsibilities under this Section 21 <br />include liability arising from, connected with, caused by, or claimed to be caused by the <br />active or passive negligent acts or omissions of City, which may be in combination with <br />the acts or omissions of any Responsible Party, provided that Consultant's duty to <br />Indemnify will not include any Losses arising from the sole negligence or willful <br />misconduct of City. <br />REV: 12-10-2020 RL <br />ATTY/AGR.2020.291/ACE Parking (Page 23 of 31) <br />
