Beginning July 1, 2010, rates will increase a minimum of four percent and a maximum of
six percent over fiscal year 2009-10 rates and will be in effect until June 30,2011.

4. For each of the three years of this agreement, EPA agrees to purchase a minimum of
2,000 hours from RWC at the rate in effect during that fiscal year.

5. EPA and RWC acknowledge and agree that compensation paid by EPA to RWC under
this Agreement is based upon RWC's cost of providing the services required hereunder,
including salaries and benefits of employees.

6. Direct external costs such as external contractors and equipment purchases on behalf of
EPA are borne by EPA. Information Technology services costs include those expenses
necessary to administer this Agreement.

7. Remote support will be billed in fifteen (15) minute intervals.

8. Terms of Payment. RWC shall invoice, on the first of each month, one-twelfth (1/12) of
the total annual agreement for that year. The total is based on 2,000 hours at the rate in
effect during that year. Billing is in arrears as invoices represent the previous month
agreement value. For example, invoicing for fiscal year 2008-09 (July 1, 2008 through
June 30, 2009) will begin August 1, 2008 and end July 1, 2009.

The total estimated amount of the agreement in fiscal year 2008-09 is $255,420. Beginning
August 1, 2008 and continuing each subsequent month for twelve (12) months, RWC will
invoice EPA $21,285.

9. Charges for other services and special projects: Additional hours for special projects
requested of RWC will be at the current rate in which the work was done and will be
invoiced in the month following the completion of the requested service or incurred
expense. Special projects are typically projects requested by EPA that require RWC
resources well-above the initially agreed upon five hours per week, and where EPA wants
to save the five hours for normal support, or where EPA wants RWC to track and invoice
A TTY/AGR/2008.042
061008

9
