TERMINATIOtJ. Either party may tErminate this agreement withaut cause at any fime <br /> during the term hereof by giving the other party not less than thirty (30) days' prior written notice of such <br /> termination. tn the event af such fermination, Contractar shall submit a fina! repart far any expenditure <br /> incurred prior to the date of termination. Contractor shaN submit to City a fmal report of activities funded <br /> hereunder within thirty(30)days from#he date of terminatian. <br /> Natwithstanding the foregoing,City may#erminate this agreement upon the occurrence o#either af <br /> the following: <br /> (a) Human Service Financia!Assistance funds cease,for any reason,#o be <br /> available to Ciry; ar <br /> ' (b) City has determined that the funds provi�ed hereunder have been,or are <br /> being,useti for purposes ofher than those described in Exhibit A. <br /> In either af the foregoing circumstances,City shafl give Cantractor not <br /> less ihan five(5)days'prior written notice of termination of such reason. <br /> Nothing contained in this paragraph shaN be deemed to limit trie right of the parties to terininate <br /> this agreement for cause or otherwise to exercise any right or pursue any remedy which may accrue to <br /> them. <br /> 9. AUD{T: M�NITORING. City may audit the records and accounts of Contractor for the <br /> purpose of verifying expenditures by Contractor of funds provided hereunder or verifying statements or <br /> analyses made or provided by Contractor hereunder. Contractor shalf respond to, and comply with, any <br /> audit exceptian made or talcen by Ciry relating to Contractor's performance or faifure to perform <br /> hereunder. Contractor shaA pay City the amount determined by the City to be due as a result of any such <br /> audit exception. <br /> 3 <br />
