<br /> City shall monitor Contractor's Program and expenditures made pursuant to ihis agreement semi-
<br /> annually to verify Con#ractor's compiiance with this agreement and locaf contract requirements.
<br /> ?4. GONTRACTOR`S STATUS. In the perf�rmance of the ob?igatior.s set forth in tt�is
<br /> agreement, Contractar shalt have the status of an independent contractar and shait not be deemed to be
<br /> an employee,agent or officer of City.
<br /> 11. FlOLD NARMLESS. Contractar hereby agrees to defend, indemnify and save harmiess
<br /> City, its Cauncil, officers, boards, commissions, agents and empi�yees (coifectively, "indemnitees")
<br /> against and from any and a!! claims, suits or actions of every name, kind and description, which may be
<br /> brought agaiRS#Indemnitees,or any of them,by reason of any injury#o,or dea#h of, any person (including
<br /> corpora#ions, partnerships and association) ar damage suffered or sus#ained by any sucM person arising
<br /> from,or alleged to have arisen from , any act a'omission to act, negligent or otherwise, of Contractor, its
<br /> officers,agents or emplayees under this agreement.
<br /> The duty of Contrac#or to defend, indemnify and save harmless, as se#forth herein, shaH inctude
<br /> the duty to defend as set forth in Section 2778 of the Gsiifomia Civil Code;provided, however,that nofhing
<br /> herein shall be construed to require Contractor to indemni#y Indemnitees against any responsibility or
<br /> liability in contra�ention of Section 2782 of the Califomia Civil Code.
<br /> 12. NON-DISCRIMlNATION AND EQUAL OPPOR7UNITY. Contractor hereby wa�rants and
<br /> agrees that, in the performance of th�s agreement, it wii� not, in cor�nection with the ernployrnent,
<br /> advancerr�ent or discharge of emplayees, or in connection with the terms, conditions or privifeges af their
<br /> emptoyment, discriminate against person because of their age, excep# upon the basis of bona fide
<br /> occupational qualification, retirement plan or statutory requirement, and will not specify, in solicitations or
<br /> advertisemen# for employees to work on this contract, a maximum age limit, unless such limit is based
<br /> upon a bona fide occupational qua}ification,retirement plan or statutory requirement.
<br /> Contractor further warranfs and agrees that it wili comply with all provisions of executive Order
<br /> t 1246 of September 24, i965, and of the rules, regulations and relevant orders of the Secretary of Labor;
<br /> and that it�Nilt not discrirszinate against any errzployee or applicant for employment beca�se of race, crs[or,
<br /> religion, sex or national origin. Contractar will take affirma#ive action to ensure tha# applicants are
