<br />6.3A <br />Page 10 <br /> <br />BACW A itself pays for such administration services. Project Sponsor may <br />request reimbursement for the administration costs it pays to BACW A by way of <br />the invoices that it submits to BACW A, as provided in Paragraph 36, below. <br /> <br />The total amount of the State Grant funds that is anticipated to be used to <br />reimburse the Participating Water Entities for administration and legal costs <br />incurred by BACW A and billed to the Participating Water Entities is <br />$250,000.00. Project Sponsor agrees that if the cost of administration appears <br />that it will exceed $250,000.00, then Project Sponsor will cooperate with <br />BACW A and each of the remaining Participating Water Entities (by and through <br />the Oversight and Coordination Committee, as discussed in Paragraph 23, below) <br />to determine what additional portion of the State Grant funds will be used to <br />reimburse for administration costs and how such reimbursement will occur. <br /> <br />Project Sponsor acknowledges that the State Agreement encompasses numerous <br />projects to be carried out by each of the Participating Water Entities, including <br />Project Sponsor, and thus different schedules are applicable to each such project <br />and there is tbe possibility of unforeseen delays in certain projects. Due to such <br />circumstances, some projects encompassed by the State Agreement may be <br />completed before others and other projects may take longer to complete than <br />originally contemplated., and as a result, the cost of administration under the State <br />Agreement may increase. Therefore, Project Sponsor agrees that it will cooperate <br />with BACWA and each of the remaining Participating Water Entities (by and <br />through the Oversight and Coordination Committee, as discussed in Paragraph 23, <br />below) to determine how such costs for prolonged administration, if any, will be <br />billed and reimbursed. <br /> <br />8. REDIRECTION OF UNUSED ADMINISTRA nON COSTS: Project Sponsor <br />agrees that, if any of the State Grant funds that were originally allocated under the <br />State Agreement to cover administration costs are not needed for that purpose, <br />Project Sponsor will cooperate with BACW A and the remaining Participating <br />Water Entities (by' and through the Oversight and Coordination Committee, as <br />discussed in Paragraph 23, below) to request approval from DWR to redirect such <br />funding. <br /> <br />PROJECT-SPECIFIC REOUIREMENTS <br /> <br />9. PROJECT MANAGERS: Either BACW A or Project Sponsor may change its <br />Project Manager upon written notice to the other party. <br /> <br />a. BACWA's Proiect Manager: BACWA's Project Manager shall be Michele <br />M. PIa, its Executive Director. BACWA's Project Manager shall be <br />BACW A's representative and shall have the authority to make determinations <br />and findings with respect to each controversy arising under or in connection <br />with the interpretation, performance, or payment for work performed under <br />this Implementation Agreement. <br /> <br />{00907092} <br /> <br />6 <br />
