<br />6.3A <br />Page 11 <br /> <br />b. Project Sponsor's Proiect Manager: Project Sponsor's Project Manager shall <br />be Peter Ingram, its City Manager. Project Sponsor's Project Manager shall <br />be Project Sponsor's representative for the administration of this <br />Implementation Agreement and shall have full authority to act on behalf of <br />Project Sponsor, including authority to execute all payment requests. <br /> <br />10. PROJECT SPONSOR RESPONSIDILITY: Project Sponsor shall be responsible <br />for work and for persons or entities engaged in work, including, but not limited to, <br />subcontractors, suppliers, and providers of services. Project Sponsor or its <br />representatives shall provide regular inspections of any construction work in <br />progress regarding Project. Project Sponsor shall give attention to fulfillment of <br />this Implementation Agreement and completion of Project work, and shall keep <br />all work under control. <br /> <br />11. PROJECT SCHEDULE: Project Sponsor shall diligently perform all Project <br />work as described in Exhibit "B", Work Plan, and in accordance with Exhibit <br />"C", Schedule. <br /> <br />12. PROJECT RELATED DISPUTES: Project Sponsor shall be responsible for any <br />and all disputes arising out of its contracts for Project work, including but not <br />limited to bid disputes and payment disputes with Project Sponsor's contractors, <br />subcontractors, and suppliers. BACW A will not mediate disputes between <br />Project Sponsor and any other party concerning responsibility for performance of <br />Project work. <br /> <br />13. RELATIONSHIP OF BACWA AND PROJECT SPONSOR: Project Sponsor is <br />solely responsible for design, construction, operation, and maintenance of Project. <br />Review or approval of plans, specifications, bid documents, or other construction <br />documents by BACW A is solely for the purpose of proper administration of State <br />Grant funds by BACW A and shall not be deemed to relieve or restrict Project <br />Sponsor's responsibility or to constitute design approval. <br /> <br />14. PROJECT SPONSOR REPRESENTATIONS; Project Sponsor accepts and <br />agrees to comply with all the applicable term~ provisions, conditions, and <br />commitments of the State Agreement, including all documents incorporated <br />therein; all the terms, provisions, conditions, and commitments of this <br />Implementation Agreement, including all incorporated documents; and to fulfill <br />all assurances, declarations, representations, and statements relevant to Project <br />made by Project Sponsor to BACWA and with respect to BACWA's application, <br />documents, amendments, and communications filed in support of its request to <br />DWR for the State Grant. <br /> <br />Project Sponsor also acknowledges and accepts that, pursuant to Paragraph 10 of <br />the State Agreement, in the event that BACW A fails to secure an individualized <br />Implementation Agreement with any of the Participating Water Entities by <br />December 31, 2008, BACW A will not be held responsible for the associated <br />Water Entity's activities under Section 7 of the State Agreement, and DWR may <br /> <br />(00907092) <br /> <br />7 <br />
