<br />6.3A <br />Page 23 <br /> <br />Project Sponsor agrees that BACW A, or its designated representative, and the <br />Bureau of State Audit, or its representative, shall have the right to review and to <br />copy any records and supporting documentation pertaining to the performance of <br />this Implementation Agreement. Project Sponsor agrees to maintain such records <br />for a possible audit for a minimum of three (3) years after fmal payment of the <br />State Grant Amount, unless a longer period of record-retention is stipulated by <br />and between BACW A and DWR prior to the end of the third (3~ year and <br />Project Sponsor is provided reasonable notice thereof. Project Sponsor agrees to <br />allow the auditor(s) access to such records during normal business hours and to <br />allow interviews of any employees who might reasonably have information <br />related to such records. Further, Project Sponsor agrees to include a similar right <br />of BACW A and DWR, or their representatives, to audit records and interview <br />staff in any contract related to performance of this Implementation Agreement. <br /> <br />45. ANNUAL AND CLOSE-OUT AUDITS: An annual audit as well as a c1ose-out <br />audit will be performed with respect to the State Grant funds that are disbursed <br />pursuant to the State Agreement and this Implementation Agreement. Such audits <br />will be performed at the behest of BACW A and conducted by an independent <br />Certified Public Accountant using Generally Accepted Accounting Principles. <br />The costs of any such audit will constitute administrative costs for which <br />BACW A will bill Project Sponsor and for which Project Sponsor can request <br />reimbursement, consistent with Paragraph 7, above. <br /> <br />46. INCOME RESTRICTIONS; Project Sponsor agrees that any refunds, rebates, <br />credits, or other amounts (including any interest thereon) accruing to or received <br />by Project Sponsor in relation to any work performed under this Implementation <br />Agreement shall be paid by Project Sponsor to BACW A, for BACW A's payment <br />to DWR, to the extent that they are properly allocable to costs for which Project <br />Sponsor has been reimbursed by BACW A under this Implementation Agreement. <br /> <br />47. REMITTANCE OF UNEXPENDED FUNDS: Project Sponsor, within a period <br />of thirty (30) calendar days from the final disbursement from BACW A to Project <br />Sponsor of the State Grant Amount, shall remit to BACW A any unexpended <br />funds that were disbursed to Project Sponsor under this Implementation <br />Agreement and were not needed to pay Eligible Costs for Project. <br /> <br />48. MAINTENANCE OF FILES: BACW A will maintain a complete set of files <br />related to the administration and management of State Grant funds during the <br />period of time in which the State Grant funds are being distributed under the State <br />Agreement. Such files will be maintained in a location that can be accessed by <br />each of the Participating Water Entities, including Project Sponsor, as well as <br />DWR personnel. At the end of the grant period, the fIles will be moved to a <br />location where they can be ex.peditiously retrieved for a period of three (3) years <br />after the grant period ends. <br /> <br />{00907092} 19 <br />
