<br />6. SPHERE and JGC will report only aggregate data and will not report any individual data, nor will <br />data be reported in a manner that permits indirect identification of any individual. This paragraph <br />shall survive the termination of this Agreement. <br /> <br />7. SPHERE and JGC will not conduct any analyses using the City of Redwood City data without prior <br />approval by an authorized City representative. Consultants will not publish findings obtained using <br />City data without prior approval by an authorized City representative. City of Redwood City shall <br />designate the following persons as authorized representatives for the YDA: <br /> <br />Peter Ingram, City Manager <br />Magda Gonzalez, Deputy City Manager <br />Corinne Centeno, Parks, Recreation and Community Services Director <br /> <br />8. SPHERE shall not disclose any individually identifiable information furnished by the City of <br />Redwood City to JGC or to any person other than SPHERE employees or authorized agents <br />assigned to perform activities directly related to the purpose stated above. Further, SPHERE <br />agrees to obtain written approval from the City prior to engaging any subcontractors to perform <br />any services requiring access to any individually identifiable information. <br /> <br />9. SPHERE and JGC shall not re-disclose any student-level data with or without identifying <br />information to any other requesting individuals, agencies, or organizations without prior written <br />authorization by Redwood City. <br /> <br />10. SPHERE and JGC shall use the data only for the purpose stated above. These data shall not be <br />used for personal gain or profit. <br /> <br />11. SPHERE shall keep all information furnished by the City of Redwood City in a space physically <br />and electronically secure from unauthorized access. Information and data shall be stored and <br />processed in a way that unauthorized persons cannot retrieve nor alter the information by means <br />of a computer, remote terminal, or other means. No data will be stored on laptop computers. <br /> <br />12. SPHERE shall use secure means of transferring information. If information is transferred by mail, <br />a carrier that can track parcels shall be used. If information is transferred electronically, industry <br />standard encryption algorithms shall be used. <br /> <br />13. SPHERE shall permit examination and on-site inspections by Redwood City on reasonable notice <br />to make sure that these terms are being met. <br /> <br />14. Any waiver by any party of the violation of any provision of this Agreement shall not bar any action <br />for subsequent violations of the Agreement. <br /> <br />C. CITY OF REDWOOD CITY RESPONSIBILITIES <br /> <br />1. To further the achievement of the above stated purpose, Redwood City will at its discretion <br />provide Consultants with data extracts from databases and other data systems to access data <br />that may include, but is not limited to, student identifiers, demographic information, attendance <br />records, program participation, surveys, questionnaires, as well as any additional items required to <br />answer research questions defined by Redwood City alone or with San Mateo County participants <br />in the Youth Data Archive. <br /> <br />2. Redwood City will create data extracts and shall provide these data extracts to SPHERE using a <br />mutually agreed upon means and schedule for transferring confidential or private information. <br />Extracts will be updated semi-annually or on a mutually agreed upon schedule. <br /> <br />City Attorney Approved Version #05.22.01 <br /> <br />5 <br />
