<br />TERMS <br /> <br />1. Incorporation of Recitals. <br />herein by reference. <br /> <br />The Recitals set forth above are incorporated <br /> <br />2. Relocation Assistance. The City hereby agrees that it will provide <br />relocation assistance for the benefit of the Government, which shall be paid to Owner in order to <br />supplement the lease payments to be made by the Government under the Lease, on the following terms and <br />conditions. <br /> <br />a. As a condition precedent to the City's obligations hereunder, the <br />Government and Owner shall have entered into the Lease. <br /> <br />b. The City will make payments to Owner in the amounts and at the times set <br />forth in Exhibit "A" attached hereto. The parties acknowledge that the Lease is for a two (2) year term, <br />but may be terminated by the Government after the end of the sixth month of the term upon thirty (30) days <br />written notice. Notwithstanding any language in this Agreement to the contrary, the monthly payments <br />which the City is obligated to make as set forth in Section 4 of Exhibit "A" shall terminate when the City <br />has made nine of such monthly payments, or upon termination ofthe Lease by the Government, whichever <br />shall occur flISt. <br /> <br />c. The arrangement between the parties to this Agreement is for the benefit <br />of the Government and nothing contained herein shall be deemed to be a lease, sublease or agreement with <br />respect to the Premises, other than for the payment of the assistance as provided. The City is not leasing <br />any portion of the Premises and is not entering into a landlord-tenant arrangement with Owner. <br /> <br />3. General Provisions. <br /> <br />a. Payments - The payments provided in Exhibit "A" shall be made on the <br />dates indicated in that exhibit. If the City fails to make any payment on its due date, Owner may give ten <br />(10) days written notice, and if the payment is not made within said ten days, the City shall be deemed to <br />be in default of this Agreement. <br /> <br />b. Notices - In the event of any notice or demand between the parties hereto, <br />the party giving the notice or making the demand shall do so in writing, delivered by a recognized national <br />overnight delivery service, requiring a written acknowledgment of receipt, or by certified mail, returnreceipt <br />requested, or by personal delivery to the agent of the party as indicated below, unless written notice of a <br />change has been given: <br /> <br />2 <br />
