Monte <br />P.O. Box 160-A <br />San Carlos, CA 94070 <br /> <br />c. Applicability of Laws - This Agreement shall be construed and enforced <br />in accordance with the laws of the State of California. <br /> <br />d. Attorneys' Fees/Costs - Should any action be brought in any court of <br />competent jurisdiction, the prevailing party in such action shall be entitled to reimbursement by the other <br />party of its reasonable attorney's fees, court costs and other costs related to such litigation. <br /> <br />e. Successors and Assigns - The provisions of this Agreement shall be binding <br />upon and inure to the benefit of the heirs, executors, administrators and permitted successors and assigns <br />of the parties hereto. Neither party may assign the rights or obligations under this Agreement without the <br />express written consent of the other party, which consent shall not be unreasonably withheld. <br /> <br />f Default - In the event ofa default of either party to this Agreement, the non- <br />defaulting party, after thirty (30) days written notice (except in the case of non-payment, in which case after <br />ten days notice), may declare a default in this Agreement and pursue all remedies available to it at law or <br />in equity. <br /> <br />g. Entire Agreement! Amendment - This Agreement represents the entire <br />agreement of the parties with respect to the subject matter hereof and supersedes all prior and <br />contemporary agreements and understandings. This Agreement may only be amended with the written <br />consent of both parties. <br /> <br />h. Incorporation of Exhibit - The exhibit attached to this Agreement is <br />incorporated herein by reference as though fully set forth in this Agreement. <br /> <br />i. Severability - Each and every section of this Agreement is, and shall be <br />construed to be, a separate and independent covenant and agreement. If any term or provision hereof is <br />deemed to any extent to be invalid or unenforceable, the remainder of this Agreement, or the application <br />of such term or provision to circumstances other than those to which it is invalid or unenforceable, shall not <br />be affected thereby, and each term and provision of this Agreement shall be valid and enforced to the extent <br />permitted by law. <br /> <br />3 <br />
