<br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />ENTERPRISE GIS SERVICES <br />(FARALLON GEOGRAPHICS, INC.) <br /> <br />Amendment No. 1 is entered into and effective as of the L day of <br />:..--- , 200!l extending and amending the agreement dated <br />Janua , 2009 (the "AgreemenV') by and between the City of Redwood City, a charter <br />city an municipal corporation of the State of California ("City"), and Farallon <br />Geographies, Inc., ("Consultant") (collectively, the "Parties") for Enterprise GIS Services. <br /> <br /> <br />RECITALS <br /> <br />A. The Parties desire to alter the Agreement's Exhibit C - Payment Schedule <br />to revise the percentage of fees paid upon successful completion of specific project <br />milestones; and <br /> <br />B. The Parties desire to extend the Agreement for a period of 4 months <br />ending October 2009. <br /> <br />C. The Parties have negotiated and agreed to a payment schedule, which is <br />attached to and incorporated in by this reference as Exhibit "C," Payment Schedule. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of 4 months ending in October 2009 and Consultant will <br />be paid a not to exceed amount of thirty four thousand, nine hundred and thirty dollars <br />($34,930) based on a payment schedule described in Exhibit "C." <br /> <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />3. Aii requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br /> <br />4. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br /> <br />Amendment to AddTime-ChangeScope-FeeSchedule <br />City Attorney Approved Version 090103 1 <br />
