IMPROVEMENT AGREEMENT Stanford in Redwood City Phase 1 k THIS IMPROVEMENT AGREEMENT ("Agreement") is made and entered into on this day of E_ , 2017 {"Effective Date") by and between the Board of Trustees of the Leland Sta4ford Junior University, a body having corporate powers under the laws of the State of California ("Developer"), and the City of Redwood City, a charter city and California municipal corporation ("City") with Developer and City hereinafter referred to individually as "Party" and collectively as "Parties." Reference is made to the following facts: RECITALS A . DeveIoper is the current fee owner of that certain real property located within the City of Redwood City, County of San Mateo, State of California, described in Exhibit A, attached hereto and incorporated herein by reference (the "Property"). 13. On December 12, 2016, the City Council of the City of Redwood City adopted, among other approvals, Resolution No. 15551, approving the Tentative Map TM2016-002, which is part of the Stanford in Redwood City Phase 1 Project ("Project"), prepared by BKF Engineers and dated July S, 2016 ("Tentative Map"), subject to certain conditions of approval ("Conditions"). C . The Conditions require either (1) that certain public improvements for the Project be constructed prior to approval of the final map ("Final Map"), or (2) that Developer enter into an improvement agreement with City to guarantee the installation of all public improvements required of the Project and to provide for payment of all City inspection and plan check charges associated with the installation of public and private improvements, including but not limited to streets, sanitary sewers, water, storm drains and street lights. D . Developer has submitted the Final Map and applied to City for Final Map approval without having completed the required public improvements and, therefore, will enter into the improvement agreement with City providing for the future construction and installation of public improvements, as required by Government Code section 66462(a)(1). E. Developer has submitted to City plans, specifications and drawings entitled "Stanford in Redwood City G2 On-site Improvement Plans", prepared by BKF Engineers and dated February 24, 2017 (the "On -Site Improvement Plans"), which, in addition to other improvements, provide for certain on-site improvements consisting of private street and street light improvements, storm drain systems, sanitary sewer systems, public domestic water systems and services, and public recycled water systems and services, for the Project (collectively, "On -Site Improvements").
