<br />share equally in the costs. No additional equipment for which costs will be <br />shared will be purchased without the prior consent of both parties. <br /> <br />2.5 USE OF PREMISES. Unless otherwise agreed to by Licensor in writing, <br />the Premises may be used only by Licensee and Licensee's agents, <br />customers, and contractors for the purposes state herein. Licensee <br />agrees not to use or permit use of the Premises for any unlawful purpose, <br />and not to commit or permit any waste or nuisance in or about the <br />Premises, or to cause structural injury to the Premises. Licensee at <br />his/her expense, shall keep the Premises in the same condition as it was <br />at the commencement of the License, except damage occasioned by <br />ordinary wear and tear. <br /> <br />2.6 KEYS AND LOCKS. Licensee shall be issued the necessary keys that <br />enable access to the Premises. Licensee will be required to complete all <br />necessary paperwork related to the issuance of the keys. <br /> <br />3. TERM. <br />The Agreement shall expire at either Party's option, upon written notification at <br />least ninety (90) days prior to the intended termination date to the Parties <br />specified below. <br /> <br />4. COMPENSATION AND SERVICES. <br />Licensor authorizes Licensee to perform, and Licensee agrees to render, those <br />services (the "Services") that are described in Exhibit "8," attached and <br />incorporated by this reference in accordance with the terms and conditions set <br />forth in this Agreement. Licensor agrees to facilitate Licensee's performance of <br />those services as described in Exhibit "A." <br /> <br />4.1 AMOUNT. The total fee for the License is zero dollars ($00.00). <br />Payment will be made pursuant to Exhibit "B". No other <br />compensation for the License will be allowed except for items <br />covered by subsequent amendments to this Agreement. <br /> <br />4.2 UTILITIES AND EXPENSES. Licensee will be responsible for the <br />all phone call and network charges and will be billed quarterly by <br />the Redwood City Revenue Services Department. <br /> <br />5. INDEMNIFICATION. <br />Licensee will protect, defend, indemnify and hold harmless Licensor, City of <br />Redwood City ("City"), and its Council members, officers, agents, employees, <br />contractors, and volunteers from and against all causes of action, claims, <br />damages, losses and expenses (including attorney's fees and costs) arising out <br />of the performance of the Services, or the use of the Premises, caused in whole <br /> <br />ATTY/AGR/2009.009 <br />021909 <br /> <br />3 <br />
