<br />I b) Such evidence shall consist of a showing that a majority of the Page 9

<br />',," employees are nlembers of the Union, and/or have signed cards
<br />designating the Union as the signatory's bargaining representative.
<br />c) South Bay shall, uponth~. presentation of such evidence and
<br />recognitiont enter into and adopt the collective bargaining
<br />agreements for the remainder of its term then in effect between the
<br />Union and Allied Waste. In the event the most. recent colleetive
<br />bargaining agreements covering such employees has expired, the
<br />Company shall initially apply and be bound by the terms and
<br />conditions of the expired agreements, but shall concun-cutly meet
<br />with the Union for the purpose of negotiating in good faith. to agree
<br />upon a successor agreement, which will be retroactive for wages
<br />and economic. benefits t.o the date on which the Company begins
<br />operations under its franchise.

<br />4) All employees hired in accordance with this Memorandum shall retain their
<br />seniority held as of the South Bay's start-up date.
<br />
