<br />1. CONSULTANT'S SERVICES. Consultant shall perform all or a portion of the <br /> <br />professional consulting services described in Exhibit "A" hereof, attached hereto and by <br /> <br />this reference incorporated herein. <br /> <br />2. COMPENSATION: EXPENSES; PAYMENT. Consultant's compensation and <br /> <br />payments shall be in accordance with Exhibit "B," Fees and Compensation Schedule. <br /> <br /> <br />Notwithstanding the foregoing, the combined total of compensation and <br /> <br />reimbursement of costs payable hereunder shall not exceed the sum of Two Hundred <br /> <br />Fourteen Thousand Five Hundred Dollars ($214,500), and of this, the City's contribution <br /> <br />is Forty-Nine Thousand Five Hundred Dollars ($49,500) and the Agency's contribution <br /> <br />is One Hundred Sixty Five Thousand Dollars ($165,000). The Redevelopment Agency <br /> <br />Executive Director may increase the total compensation and reimbursement costs <br /> <br />payable hereunder for additional services to the Agency by the not to exceed sum of <br /> <br />Fifty Thousand Dollars ($50,000.00) based upon a satisfactory review of Consultant's <br /> <br />performance and Agency needs. Any other compensation in excess of the amounts <br /> <br />described in this paragraph will require approval by the City Council and Agency's <br /> <br />Board, evidenced by motion duly made and carried. <br /> <br />3. CONSULTANT PRINCIPALS IN CHARGE. It is agreed and understood by <br /> <br />Agency and Consultant that either Michael Freedman or Alison Kendall will be the <br /> <br />Principals in Charge of the work set out in Exhibit "A" Any change in the Principals in <br /> <br />Charge shall be subject to approval by Agency. <br /> <br />4. SUBCONSUL TANTS.
