The Ci�ty reserves the right #o employ vther consultants in <br /> connection with the Senrices. <br /> 1�. Indemnification. Consultant will defend, indemnify and hold harmless Ci�ty and its <br /> officers, agents, employees and volun#eers frorn and against al! claims, damages, <br /> losses and expenses including attorney fees arising out of the performance of the <br /> Services, caused in whole or in part by fihs wil�ful misconduct or any negligent act or <br /> omission of the Consultant, any subcon#ractor, anyone directly or indirectly employed by <br /> any of them or anyone for whose acts any of them may be liabie, except where caused <br /> b�the act�ve negfigence, sole negligence, or wil(ful misconduct of City. <br /> The Parties expressly agree fihat any reasonable payment, attorney's fee, cost or <br /> expense Gity incurs or makes to or on behalf of an injured employee under the City's <br /> self-administere� workers' cornpensation is included as a loss, expense or cost for the <br /> purposes of this section, and that this section will sur�i�e fihe expiration or early <br /> termination of the Agreement. <br /> 11. fnsurance. Consultant wi�! abtain and maintain for the dura#ion of the Agreement <br /> and any and all amendments, insurance against claims for injuries to persons or <br /> damage to property which may arise out of or in connect�on with performance of the <br /> Services by Consultant or Consultanf's agents, representafives, emp[oyees or <br /> subcantractors. The insurance will be obtained from an insurance carrier admitted and <br /> authorized to do business in the State of Ca�ifornia. The insurance carrier is required to <br /> have a current Best's Key Rating of not less than "A-:V." <br /> �1.1 Coverages and Limits. Consultant wil[ maintain the types of coverages <br /> and minimum limits indicated below, unless Risk Manager o� City Manager, in <br /> consultation with the City Attorney approves a lower amounfi. These minimum <br /> amounts of �overage wiil nofi constitute any fimi�ations or cap on Consultant's <br /> indemnification obligations under this Agreernent. City, i�s o�ficers, agents, <br /> volunteers and employees make no representation that the iimits of the <br /> insurance specifed fio be carried by Consultan� pursuant to this Agreement are <br /> adequate to protect Consultant. If Consultant beiieves that any required <br /> insurance coverage is inadequate, Consultan# will obtain such additional <br /> insurance co�erage, as Consultant deems adequafie, at Consultant's sole <br /> expense. <br /> 11.�.1 Commercial General Liability Insurance. $1,000,000 combined <br /> single-limit per occurrence for bodily injury, personal injury and property <br /> damage. 1f the submitted policies contain aggregate limits, general <br /> aggregat� lirr�its will apply separafiely to the work under this Agreement or <br /> the general aggregate will be twice the required per occurrence Iimit. <br /> ATTY/AGR/2�09.036 3 <br /> 073009 <br />
