City will evaluate Consul�ant's duties pursuant to this <br /> Agreement ta defiermine whether disclnsure under the Poiitical Reform Act and City's <br /> Con#lict of lnfierest Code is required of Consultant or any of Consultant's employees, <br /> agents, or subcontractars. Should it be defiermined that disclosure is required, <br /> Consultant or Consultant's affected employees, agents, or subcontractors will complete <br /> and file with the City Clerk those schedules specified by C�y and contained in the <br /> Statement vf Ecvnomic Interests Form 70�. <br /> Consultant, for Consultant and on behalf of Cansultant's agents, employees, <br /> subcontractors and consultants warrants that by execufiion of this Agreement, that they <br /> have no interes#, present or contemplated, in the projects affected by this Agre¢ment. <br /> Consultant further warrants' that neither Consultant, nor Consultant's agen#s, <br /> employees, subcontrac�ors and consultants have any ancillary real property, business <br /> interests or income that will be affected by this Agreement or, alternatively, that <br /> Consultant wili file with the �ifiy an affdavit disclosing this interest. <br /> 18. General Compiiance with Laws. Consultant wi�l keep fuliy informed of federal, <br /> state and local laws and ordinances and regulations which in any manner affect those <br /> empfoyed by Consultant, or in any way affeet the performance of the Services by <br /> Consuttant. Consul#ant wi�l at ali times observe and comply with these laws, <br /> ordinances, and regu�ations and will be responsible for the compliance of Consultan#'s <br /> Services with all applicable (aws, ordinances and reguiations. <br /> '�9. Discrimina�ion and Harassment Prohibi�ed. Consultant wil� comply with aIl <br /> applicable loca�, state and federal laws and regulations prohib��ing discrimination and <br /> harassment. <br /> 20. Termination. In the event of the �onsultant`s failure to prosecute, deli�er, or <br /> perform #he Services, City may terminate this Agreement for nonperformance by <br /> notifying Consultan# in writing pursuant tv the notice provisions of this Agreement. lf <br /> City decides to abandon or indefinitely postpone the work or services contemplated by <br /> this Agreement, City may terminate this Agreemenfi upan written notice �o Consuitant <br /> pursuant to the notice provisions of this Agreement. Termination will be effecti�e <br /> immediatefy upon notification. Consultant has five (5} business days to deliver any <br /> documents owned by City and al! work in progress �o City address cantained in this <br /> Agreement. City wi�i make a determina�ion of fact based upon the work product <br /> delivered to City and of the pereentage o� work that Consultant has per�ormed which is <br /> usable and of worth to City in having the Agreement completed.
